Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CourseQ mobile application, website at course-q.com, and related services (collectively, the "Service") operated by Quast Ventures LLC ("CourseQ," "Company," "we," "us," or "our"), a legal limited liability company entity doing business as Quast Ventures / CourseQ, with a registered address at 246 Mote Street, Hot Springs, AR 71901.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS, INCLUDING DISCLAIMERS, LIMITATIONS OF LIABILITY, AND DISPUTE RESOLUTION.
1. Acceptance of Terms
By downloading, accessing, or using the Service, creating an account, or clicking "I Agree" in our post-login acknowledgment flow, you agree to be bound by these Terms and our Privacy Policy and Community Guidelines, which are incorporated by reference.
If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. Eligibility and Accounts
- You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. The Service is intended primarily for enrolled or prospective college and university students.
- You must provide accurate information and keep your account secure.
- Account creation requires a permanent username. Usernames cannot be changed after registration. Choose carefully.
- You may sign in with Apple Sign-In or Google OAuth. You are responsible for activity under your account.
- You may delete your account at any time through in-app settings. Deletion is subject to our data retention practices in the Privacy Policy.
3. The Service
CourseQ provides study planning tools (syllabus parsing, calendars, assignments, flashcards, study timers), Study Groups, Campus Hub social features, peer-to-peer Marketplace listings, direct messaging, clubs and events, referrals, and optional CourseQ Pro subscriptions. Features may change, be added, or be removed at any time.
CourseQ is not affiliated with, endorsed by, or sponsored by your university unless we explicitly state otherwise. The Service is not an official academic record system.
4. User-Generated Content
4.1 Your Responsibility
You are solely responsible for all content you submit, post, or transmit through the Service ("User Content"), including profile information, bios, Study Group posts, Marketplace listings, direct messages, club and event descriptions, images, and any other materials.
You represent that you have all rights necessary to post User Content and that your User Content does not violate these Terms, our Community Guidelines, applicable law, or the rights of others.
4.2 Interactive Computer Service / Section 230
CourseQ is an interactive computer service that hosts User Content submitted by users. We are not the publisher or speaker of User Content posted by users. To the fullest extent permitted by Section 230 of the Communications Decency Act and similar laws, CourseQ is not liable for User Content or conduct of users or third parties on or through the Service.
4.3 License You Grant Us
You retain ownership of your User Content. You grant CourseQ a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as necessary to operate, provide, and improve the Service, enforce these Terms, and comply with law.
4.4 Prohibited Conduct
You agree not to:
- Harass, threaten, bully, or harm others; post hate speech; or engage in discrimination
- Impersonate any person or entity or misrepresent your affiliation
- Post illegal content or facilitate illegal activity, including sale of illegal or stolen goods
- Facilitate academic dishonesty, including sharing exam answers or completed work for submission
- Spam, scrape, reverse engineer, or interfere with the Service or its security
- Collect user data without consent or use the Service for unauthorized commercial solicitation
- Upload malware or attempt unauthorized access to accounts or systems
- Violate campus policies, intellectual property rights, or privacy of others
4.5 Moderation
We may, but are not obligated to, monitor, review, or remove User Content; investigate reports; restrict features; suspend or terminate accounts; and cooperate with law enforcement. We have no obligation to pre-screen content. Enforcement decisions are at our sole discretion.

5. Marketplace — Peer-to-Peer Disclaimer
CourseQ Marketplace allows users to post listings visible to users at their campus. CourseQ is not a broker, escrow agent, payment processor, shipping provider, insurer, or guarantor of any transaction.
- All transactions are directly between buyers and sellers. CourseQ does not participate in payment, delivery, or dispute resolution between users.
- We do not verify the accuracy, safety, legality, condition, or ownership of items or services listed.
- We make no warranty regarding listings. You assume all risk in buying, selling, meeting, and paying other users.
- You must comply with campus rules, local laws, and tax obligations applicable to your transactions.
- CourseQ is not responsible for fraud, injury, property damage, or losses arising from Marketplace use.
6. AI, Syllabus Tools, and Study Features
CourseQ uses automated tools, including artificial intelligence, to parse syllabi, suggest schedules, generate flashcards, and provide study planning assistance. These tools are for planning and organization only — they are not academic advice, tutoring, or official course guidance.
- Output may be incomplete or inaccurate. AI may misread dates, weights, policies, or assignments.
- You are solely responsible for verifying all deadlines, grades, and requirements against official syllabi and instructor communications.
- CourseQ is not liable for missed deadlines, academic penalties, or grades resulting from reliance on automated output.
- Syllabus text and images you submit may be processed by third-party AI providers (see Privacy Policy).
7. Calendar and LMS Integration
Optional calendar export or LMS OAuth sync may push events to third-party calendars or systems. Sync may be one-way; changes in CourseQ may not update external calendars automatically. You are responsible for managing duplicates and verifying entries. We are not liable for third-party calendar or LMS downtime or errors.
8. CourseQ Pro and Subscriptions
- CourseQ Pro and other paid features are billed through the Apple App Store or Google Play using RevenueCat for entitlement management.
- Payment, billing, refunds, and tax are handled by Apple or Google under their respective terms. CourseQ does not store full payment card numbers.
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period through your App Store or Play Store account settings.
- You may restore purchases through the app where supported by the store.
- Free trials, if offered, convert to paid subscriptions unless canceled before the trial ends.
- Refunds are governed by Apple and Google policies. Contact the applicable store for billing disputes.
- We may change Pro features or pricing with notice where required by the stores or law.
9. Intellectual Property
The Service, including software, design, logos, and documentation (excluding User Content), is owned by CourseQ or its licensors and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, with or without notice, for violation of these Terms, risk to users or the Service, or any other reason at our discretion.
Upon termination, your right to use the Service ends. Sections that by nature should survive (including disclaimers, limitation of liability, dispute resolution, and indemnity) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE. WE DO NOT WARRANT USER CONTENT, MARKETPLACE LISTINGS, OR THIRD-PARTY SERVICES.
Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, our disclaimers apply to the maximum extent permitted.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COURSEQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, USER CONTENT, MARKETPLACE TRANSACTIONS, AI OUTPUT, OR THIRD-PARTY SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COURSEQ IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow limitation of liability; in those jurisdictions, our liability is limited to the maximum extent permitted.
13. Indemnification
You agree to defend, indemnify, and hold harmless CourseQ and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your User Content, use of the Service, Marketplace transactions, violation of these Terms, or violation of any law or third-party rights.
14. Dispute Resolution
Governing law: These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles, except where preempted by applicable federal law.
Informal resolution: Before filing a claim, you agree to contact us at support@course-q.com and attempt to resolve the dispute informally for at least thirty (30) days.
[ARBITRATION CLAUSE — SUBJECT TO COUNSEL REVIEW]: Any dispute not resolved informally shall be resolved by binding individual arbitration administered by American Arbitration Association (AAA) under its rules, in Hot Springs, Arkansas, unless you opt out within thirty (30) days of account creation by emailing support@course-q.com with subject "Arbitration Opt-Out." [CLASS ACTION WAIVER — SUBJECT TO COUNSEL REVIEW]: You and CourseQ agree to bring claims only in an individual capacity and waive any right to participate in a class, collective, or representative action.
Either party may seek injunctive relief in court for intellectual property or unauthorized access. Small claims court remains available where qualified.
15. Changes to Terms
We may modify these Terms at any time. We will post the updated Terms on this page and update the effective date. Material changes may require renewed acknowledgment in the app. Continued use after changes constitutes acceptance.
16. Miscellaneous
- These Terms constitute the entire agreement between you and CourseQ regarding the Service.
- If any provision is unenforceable, the remainder remains in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
